BY ACCESSING, USING, OR REGISTERING FOR THRIFTY CITY, YOU SIGNIFY YOUR AGREEMENT TO THE FOLLOWING TERMS. These Terms, and the terms of any offer for specific services that you sign up for or purchase from us, collectively govern your use of Thrifty City (the "Agreement"). By becoming a user of Thrifty City, you acknowledge that you have read and understand the Terms and agree to be bound by all of its provisions.

In this Agreement, the term "you" and "your" refers to the person (or entity you are acting on behalf of) who is a user of the Site and is agreeing to these Terms. A "user" is someone who accesses and in any way uses or interacts with the Site. "We", "us", and "our" refer to Thrifty City, its providers, licensors and affiliates. "Contributors" mean our users, third party providers, licensors, and businesses and proprietors that post their own business profiles on Thrifty City.

Certain services, products, and content offered for subscription or purchase through Thrifty City, including products from Contributors, may be subject to supplemental terms. You will be have the opportunity to review these supplemental terms and agree specifically to be bound by them if you choose to use such products and services.

We may modify the Terms from time to time. All modifications will be posted on this webpage and will become effective immediately. You can determine when the Terms were last revised by referring to the "Last Update" at the top of this page. You should revisit these Terms on a regular basis as it is your responsibility to keep yourself informed. You understand and agree that your continued access to and use of the Site after any posted modification to the Terms indicates your acceptance of the modifications.

We also reserve the right to change or discontinue at any time any content, services, or features of the Site, or products made available without notice. This includes charging fees or modifying or waiving fees in connection with use of the Site. You agree that we will not be liable for any modifications, suspensions, or discontinuance of any service, content, feature, or product offered through the Site. Continued use by you after such changes indicate your acceptance.

To access or use the Site, you must be 18 years or older and have the requisite power and authority to enter into these Terms. You represent and warrant that by accessing, using, and registering for Thrifty City you are 18 years of age or older, you agree to provide true, accurate, current, and complete information, and that you agree to be bound by this Agreement.

Registration is optional. However, we encourage you to register (become of "Member" of the Site) to use all the features of Thrifty City. If and when you do register, we will open an individual account ("Member Account") for you. You are responsible for maintaining the confidentiality of your account and for all activities that occur through your account, including purchases. You agree to provide true, accurate, current and complete registration information, and to keep this information up-to-date. You may review, correct, and update your Member information by logging into the My Profile section of the Site. Please read our Privacy Policy for more information.

As an alternative to registering directly as a Member, you may be given the option to become a Member utilizing one of your existing social media accounts such as Facebook or Twitter. If you select this option, that social media provider may provide Thrifty City with access to, and Thrifty City may use the profile and other information on file for that social media account, consistent with the Terms of this Agreement.

When registering, you will be given the option to create a screen name ("Screen Name") for giving feedback to the site; e.g. for making comments. You may not create a Screen Name that impersonate anyone else, is or may be illegal, protected by trade mark or proprietary rights, is vulgar or offensive, or may cause confusion. Further, you may not create an account for anyone other than yourself, provide an email address other than your own, or create multiple accounts. If any information provided by you is inaccurate, incomplete, or untrue, we may suspend or terminate your membership and/or access to the Site. We reserve the right to close your account at any time and for any reason.

By creating a Member Account, you agree to receive certain communications in connection with the Site. You will also receive periodic e-mail newsletters about Thrifty City and what is happening on the Site. You will have the opportunity to opt-out of non-essential communications.

Your use of the Site is also governed by our Privacy Policy which is incorporated into this Agreement by reference. Your continued use of Thrifty City represents your agreement and expressed consent to the terms of our Privacy Policy.

We grant you permission to access and use the Site subject to the restrictions in these Terms. Your use of the Site is at your own risk, including the risk that you might be expensed to Content that offensive, indecent, inaccurate, objectionable, or otherwise inappropriate. All Content is licensed and not sold. Except as otherwise provided in any supplemental terms that may apply to certain Content, you may download and temporarily store insubstantial portions of Content that you purchase to one personal computer storage device under your exclusive control. You may use such Content only (1) to display internally such Content for your individual research needs, and (2) to quote and excerpt from such Content. You may also create one printout of such Content for your internal use and you may not further distribute the printout. You may not copy, download, store, publish transmit, transfer, sell or otherwise use the Content in any form or by any means, except as expressly permitted by this Agreement. You many not circumvent any mechanisms for preventing the unauthorized reproduction or distribution of the Content. You many not use any robot, spider, other automatic device, or manual to access and copy our database. You may not store or use the Content to create an archival, searchable database of the Content. You shall not sell, license or distribute the Content (including any printed version of the Content) to third parties. Use of Thrifty City or its Content as a means of generating revenue through the sale of Content or information to others is strictly prohibited and is a violation of this Agreement.

"Content" means any data, information, text, images, photos, audio, video, location data, and all other forms of data and communications on Thrifty City that is provided by us, our Contributors, affiliates, and users. "Your Content" means Content that you submit to us in connection with the Site and information that you display publically in your Member profile.

You alone are responsible for Your Content, and once published it cannot always be withdrawn. You assume all risks associated with Your Content, including anyone's reliance on its quality, accuracy, or reliability, or any disclosure by you of information in Your Content that makes you personally identifiable. You represent that you own, or have the necessary permissions to use and authorize the use of Your Content as described herein. You may not imply that Your Content is in any way sponsored or endorsed by Thrifty City.

The Content provided is intended for general information, discussion, education and entertainment purposes only. Do not construe that all the Content is either endorsed or verified by us or our Contributors. We and our Contributors cannot and do not assume responsibility, and expressly disclaim all liability, for the truthfulness, accuracy, reliability, completeness, timeliness, legality or applicability of any Content posted or otherwise transmitted by any users and neither do we endorse opinions expressed by any user. We reserve the right, but shall have no obligation or responsibility, to pre-screen, review, flag, filter, modify, refuse or remove any or all Content on Thrifty City that violates this Agreement, as determined by us in our sole discretion.

You acknowledge that we may investigate and take appropriate legal action against anyone who, in our sole judgment, violates this Agreement, including but not limited to, terminating their Member Account and reporting such Content, conduct, or activity to law enforcement authorities. You agree that we may access, preserve, or disclose information you provide, including Your Content, when we have a good faith belief that such access and disclosure is necessary in order to protect or defend, (1) our and Contributors' legal rights or property, or their employees, agents and contractors, (2) the safety and security of users and Members of Thrifty City, (3) protect against fraud, or (4) compliance with applicable laws and legal process.

We may use your use Your Content in a number of different ways including publicity displaying it, reformatting it, incorporating it into advertisements and other works, creating derivative works from it, promoting it, distributing it, and allows others to do the same in connection with their own websites and media platforms ("Other Media"). As such, you hereby irrevocably grant us world-wide, non-exclusive, royalty-free, sub-licensable, transferable rights to use Your Content for any purpose. You also irrevocably grant the users of the Site and any Other Media the right to access Your Content in connection with their use of the Site and any Other Media. Finally, you irrevocably waive, and cause to be waived, against Thrifty City and its users any claims and assertions of moral rights or attribution with respect to Your Content. By use we man use, copy, publicly perform or display, distribute, modify, translate, and create derivative works of Your Content.

Further, Thrifty City and its licensees may publicly display advertisements and other information adjacent to or included with Your Content. You are not entitled to any compensation for such advertisements.

Except for the Content we and our Contributors license to you, we do not claim ownership of Your Content or Content posted by other users. We own Thrifty City Content including, but not limited to, visual interfaces, interactive features, graphics, design, compilation, computer code, products, software, databases, text, graphics and all other elements and components of the Site excluding Your Content, user Content, and Third Party Content. Thrifty City also owns the copyrights, trademarks, service marks, trade names, and other intellectual and property rights associated with Thrifty City Content and the Site.

You may not post or transmit any material or Content on or through the Site that:

• Violates our Content Guidelines, for example writing a fake or defamatory review, trading reviews with other businesses, compensate someone or be compensated to write or remove a review;
• Violates or infringes on the rights of others;
• Solicits, encourages, or promotes the use of illegal substances or activities;
• Is unlawful, threatening, abusive, harassing, defamatory, libelous, derogatory, degrading, invasive of privacy or public rights, fraudulent, vulgar, obscene, bigoted or hatful, intimidating, profane, scandalous, pornographic, indecent or otherwise objectionable;
• Is protected by copyright, mark, trade secret or any proprietary right;
• Promotes a business or other commercial venture or event, or otherwise use the Site for commercial purposes, except with connection to a business account expressly permitted by Thrifty City;
• Expresses or implies that any statements you make are endorsed by us, without our prior written consent;
• Gives rise to civil or criminal liability, encourages conduct that constitutes a criminal offense or otherwise violates any local, state, or federal law.

You also may not post or transmit on or through the Site:

• Advertising or commercial solicitations;
• Promotional materials relating to other websites or online services which are competitive with us and/or the Site;
• Software or other materials that contain so-called viruses, worms, time bombs, Trojan horses, or other harmful or disruptive component;
• Political campaign materials; chain letters; mass mailings; spam email;
• Any robot, spider, site search/retrieval application, or other manual or automatic device to process, retrieve, index, data mine, or in any way reproduce or circumvent the navigational structure or presentation of the Site or their contents;
• Any material, non-public information about a company without the proper authorization to do so.

You also may not:

• Violate the Terms of this Agreement;
• Send bulk emails, surveys, or other mass messaging, whether commercial in nature or not, engage in keyword spamming, or otherwise attempt to manipulate the Site's search results or any third party website;
• Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade, or in any way exploit the Site of Site Content (other than Your Content) except as expressly authorized by Thrifty City;
• Reverse engineer any portion of the Site
• Remove or modify any copyright, trademark or other proprietary rights notice that appears on any portion of the Site or on any materials printed or copied from the Site;
• Record, process, or mine information about other users;
• Access, retrieve or index any portion of the Site for purposes of constructing or populating a searchable database of business reviews;
• Engage in, or encourage or provide instructional materials relating to, any activity on the Site that restricts or inhibits other users from using or enjoying the Site such as "hacking," "spoofing,", or defacing any portion of the Site
• Frame or mirror any part of the Site without prior written consent;
• Falsely state or otherwise misrepresent your affiliation with any person or entity in connection with the Site;
• Impersonate any person or entity, including any representative of Thrifty City;
• Interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available.

You represent that you have read and understood our Content Guidelines and Privacy Policy. We may disclose information about you to third parties if we have a good faith belief that such a disclosure is reasonably necessary to (1) take action regarding suspected illegal activities; (2) enforce or apply our Terms and Privacy Policy; (3) comply with legal process or any government inquiry, such as a search warrant, subpoena, statute, judicial proceeding, or other legal process served on us; or (4) protect our rights, reputation, and property, or that of our users, affiliate, or the public.

The Digital Millennium Copyright Act of 1998 (the "DMCA") provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that any material or content posted on the Site infringes your copyright, you (or your agent) may send us a notice requesting that we remove the material or block access to it. If you believe in good faith that your content should not have been removed for alleged copyright or trademark infringement, you may send us a written counter-notice.

To send a notice or counter notice, please forward the following information to the address below:

• A description of the copyright work that you claim has been infringed;
• A description of the alleged infringing material and where it is located;
• A statement that you have a good faith belief that the disputed use is not authorized by you, the copyright owner, its agent, or the law;

• A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

You agree to release Thrifty City, its affiliates and third party providers, and their respective directors, officers, employees, owners, licensors and agents from all claims, demands and damages (actual or consequential) of any and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with any Communications or disputes between you and any other Site user.

The Site may include links to other websites or applications. We do not control or endorse any third party site. You agree that we are not responsible for the availability or contents of such third party sites. Your use of third party sites is at your own risk. Some of the services made available through the Site are provided in connection with third parties and subject to additional terms that will be posted with a description of the services and are incorporated herein by reference.

You agree to defend, indemnify, and hold harmless Thrifty City, its affiliates and its third party service providers, and their respective directors, officers, employees, owners, licensors, and agents from and against all claims, damages, losses, costs and expenses, including reasonable attorneys' fees, arising out of (1) your breach of these Terms; (2) your activities in connection with the Site or any services related to the Site (including third party services; and (3) Communications and disputes between you and any other Site user or third party provider or third party vendor. We may participate in the defense of any claim at our own cost. You shall not settle any claim that affects us without our prior written approval.

PLEASE READ THIS SECTION CAREFULLY SINCE IT LIMITS THE LIABILITY OF THRIFTY CITY AND ITS SUBSIDIARIES, AFFILIATES, AND LICENSORS (COLLECTIVELY, THE "THRIFTY CITY ENTITIES"). EACH OF THE SUBSECTIONS BELOW ONLY APPLIES UP TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW. NOTHING HEREIN IS INTENDED TO LIMIT ANY RIGHTS YOU MAY HAVE WHICH MAY NOT BE LAWFULLY LIMITED.

• THE SITE IS MADE AVAILABLE TO YOU ON AN "AS IS", "WITH ALL FAULTS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SITE IS AT YOUR OWN DISCRETION AND RISK. • YOUR SOLE AND EXCLUSIVE RIGHT AND REMEDY IN CASE OF DISSATISFACTION WITH THE SITE, RELATED SERVICES, OR ANY OTHER GRIEVANCE SHALL BE YOUR TERMINATION AND DISCONTINUATION OF ACCESS TO, OR USE OF THE SITE.
• THE THRIFTY CITY ENTITIES' MAXIMUM AGGREGATE LIABILITY TO YOU FOR LOSSES OR DAMAGES THAT YOU SUFFER IN CONNECTION WITH THE SITE OR THESE TERMS IS LIMITED TO THE GREATER OF (i) THE AMOUNT PAID, IF ANY, BY YOU TO THE THRIFTY CITY ENTITIES IN CONNECTION WITH THE SITE IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR (ii) $100.
• THE THRIFTY CITY ENTITIES DISCLAIM LIABILITY FOR ANY (i) INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, RELIANCE, OR CONSEQUENTIAL DAMAGES, (ii) LOSS OF PROFITS, (iii) BUSINESS INTERRUPTION, (iv) REPUTATIONAL HARM, OR (v) LOSS OF INFORMATION OR DATA.

New York law will govern these Terms, as well as any claim, cause of action or dispute that might arise between you and Thrifty City (a "Claim"), without regard to conflict of law provisions. FOR ANY CLAIM BROUGHT BY EITHER PARTY, YOU AGREE TO SUBMIT AND CONSENT TO THE PERSONAL AND EXCLUSIVE JURISDICTION IN, AND THE EXCLUSIVE VENUE OF, THE STATE AND FEDERAL COURTS LOCATED WITHIN SAN FRANCISCO COUNTY, CALIFORNIA.

• You may terminate the Terms at any time by closing your account, discontinuing your use of the Site, and providing Thrifty City with a notice of termination here. Please review our Privacy Policy for information about what we do with your account when terminated.
• We may close your account, suspend your ability to use certain portions of the Site, and/or ban you altogether from the Site for any or no reason, and without notice or liability of any kind. Any such action could prevent you from accessing your account, the Site, Your Content, Site Content, or any other related information.
• In the event of any termination, whether by you or us, Sections 1, 9-12, 17-21 of these Terms will continue in full force and effect, including our right to use Your Content as detailed in Sections 9-11.

• We reserve the right to modify, update, or discontinue the Site at our sole discretion, at any time, for any or no reason, and without notice or liability.
• We may provide you with notices, including those regarding changes to the Terms by email, regular mail or communications through the Site.
• Except as otherwise stated in Section 10 above, nothing herein is intended, nor will be deemed, to confer rights or remedies upon any third party.
• The Terms contain the entire agreement between you and us regarding the use of the Site, and supersede any prior agreement between you and us on such subject matter. The parties acknowledge that no reliance is placed on any representation made but not expressly contained in these Terms.
• Any failure on Thrifty City's part to exercise or enforce any right or provision of the Terms does not constitute a waiver of such right or provision. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.
• If any provision of the Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.
• The Terms are not assignable, transferable or sub-licensable by you except with Thrifty City's prior written consent, but may be assigned or transferred by us without restriction. Any assignment attempted to be made in violation of the Terms shall be void.
• The section titles in the Terms are for convenience only and have no legal or contractual effect.
